The short version
Use our services lawfully and honestly. Only monitor devices you own or have permission to monitor. Don't try to break things or circumvent limits. Your data is yours — we just operate the platform.
1. Definitions
- "Monitovo", "we", "us", "our" — Monitovo, LLC, operator of monitovo.com and Monitovo NMS.
- "Service" — all Monitovo properties, including the marketing website, Monitovo NMS platform (app.monitovo.com), Edge Agents, Windows Agents, and associated features.
- "Subscriber" — an individual or organisation subscribed to a paid Monitovo NMS plan or using the free Starter tier.
- "User" — anyone with an account in a Subscriber's tenant, including invited team members.
- "Tenant" — a Subscriber's isolated workspace within the multi-tenant Monitovo NMS platform.
- "Your Data" — device configurations, network topology, monitoring results, and any other data you introduce to the Service.
2. Eligibility and account registration
You must be at least 18 years old and have the authority to enter into a binding agreement — either on your own behalf or on behalf of your organisation — to use Monitovo.
You are responsible for all activity that occurs under your account. Keep your credentials secure. Notify us immediately at hello@monitovo.com if you suspect unauthorised access to your account.
You may invite team members to your tenant. You are responsible for ensuring that invited users comply with these Terms.
3. Description of service
Monitovo, LLC operates two distinct services:
- IT Operations Consulting — custom workflow design, automation development, and platform integration services delivered on a retainer basis to MSPs and IT teams.
- Monitovo NMS — a network monitoring platform offering ICMP ping, TCP port, HTTP/HTTPS endpoint, SNMP OID polling, SSL/TLS certificate expiry monitoring, Windows Service monitoring via Monitovo Agent, and on-premises monitoring via Monitovo Edge. Available as SaaS and self-hosted.

4. Acceptable use
You agree not to use any Monitovo service to:
- Monitor devices, networks, or services that you do not own or have explicit written permission to monitor
- Launch denial-of-service attacks or excessive automated requests against third-party systems
- Scrape, reverse-engineer, or attempt to extract the source code or underlying infrastructure of the Service
- Circumvent plan limits, authentication controls, or tenant isolation mechanisms
- Use the Service in violation of any applicable law or regulation
- Upload malicious code, malware, or any content intended to disrupt the Service or other users
- Resell or sublicense access to the Service without a written agreement authorising you to do so
We reserve the right to suspend or terminate accounts that violate these requirements without prior notice.
5. Subscriptions and payment
Billing terms, plan limits, auto-renewal, cancellation, and refund policies are set out in the Subscriber Agreement, which is incorporated into these Terms by reference.
6. Your data
You retain full ownership of Your Data. We do not claim any intellectual property rights over the network configuration, monitoring results, or other data you store in Monitovo NMS.
You grant us a limited licence to store, process, and transmit Your Data solely for the purpose of providing the Service to you.
You are responsible for the legality and accuracy of Your Data. Do not enter data you are not authorised to process.

7. Intellectual property
The Monitovo platform, including its software, design, trademarks, and documentation, is owned by Monitovo, LLC. Nothing in these Terms grants you any right, title, or interest in our intellectual property other than the limited right to use the Service as a subscriber in good standing.
8. Service availability
We aim to provide a reliable, high-availability service, but we do not guarantee uninterrupted access. The Service is provided on a commercially reasonable best-effort basis. Planned maintenance will be announced where practicable.
Uptime Service Level Agreements (SLAs) are available only on Enterprise and Custom plans with a written SLA addendum. Starter, Pro, and Business subscribers do not receive a contractual SLA.
9. Third-party integrations
Monitovo NMS integrates with third-party services including Auth0, Stripe, Slack, and Jira. Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the availability or behaviour of third-party services.
10. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF SECURITY VULNERABILITIES.
You are responsible for independently verifying the accuracy of monitoring data before making business or operational decisions based on it.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MONITOVO, LLC BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTAL FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Monitovo, LLC and its officers, directors, employees, and contractors from and against any claims, liabilities, damages, and costs (including reasonable legal fees) arising from: (a) your use of the Service; (b) Your Data; (c) your violation of these Terms; or (d) your violation of any third-party rights.
13. Termination
You may cancel your subscription at any time through your account settings or by emailing hello@monitovo.com. Cancellation terms are set out in the Subscriber Agreement.
We may suspend or terminate your access immediately, without notice, if you breach these Terms, if your payment fails and is not cured within a reasonable grace period, or if we are required to do so by law.
On termination, your right to use the Service ceases. Data retention on termination is described in our Privacy Policy.
14. Changes to these terms
We may update these Terms from time to time. We will notify account holders by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you may cancel your subscription before the effective date.
15. Governing law
These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of competent jurisdiction in the United States.
16. Entire agreement
These Terms of Service, together with the Subscriber Agreement and the Privacy Policy, constitute the entire agreement between you and Monitovo, LLC regarding your use of the Service and supersede all prior agreements or understandings on that subject.
